Buykii Cancellation Policy
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE OR ANY BUYKII SERVICES.
You and Buykii. Welcome to Buykii (“Buykii,” “we,” “us,” and “our”). These Legal Disclaimer and Terms of Service (“Terms”) are a binding agreement between you and Buykii LLC, doing business as Buykii. These Terms govern your access to and use of buykii.com, any related Buykii webpages, checkout pages, order forms, customer dashboard, electronic communications, customer support channels, and any formation, filing, compliance, registered-agent, mail-handling, virtual-address, EIN/tax-ID assistance, amendment, reinstatement, dissolution, annual-report, U.K. incorporation, Canadian incorporation, and related administrative services we make available (collectively, the “Services”).
Who these Terms apply to. The words “you,” “your,” “user,” and “customer” include any visitor to the Website, any prospective customer, and any person or entity that purchases, accesses, or uses the Services. If you use the Services on behalf of a business or another person, you represent that you have authority to bind that person or entity to these Terms.
Acceptance of Terms. By accessing the Website, using the Services, creating an account, submitting an order, clicking an “I agree,” “buy now,” “continue,” or similar button, or otherwise engaging with the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
Service-specific terms and jurisdiction-specific supplements. Some Services may be subject to additional service-specific or jurisdiction-specific terms, disclosures, order summaries, or checkout conditions. If a specific service disclosure or order summary conflicts with these Terms, the more specific language will control for that Service to the extent of the conflict.
Informational purposes only. Buykii provides general information and administrative filing support for informational and service-delivery purposes only. Content on the Website, in emails, in chat, by telephone, or through any other communication channel is not a substitute for advice from a licensed attorney, accountant, tax advisor, or other qualified professional.
No legal, tax, accounting, financial, or immigration advice. Buykii is not a law firm, accounting firm, CPA firm, bank, trust company, government agency, or immigration adviser. Buykii does not provide legal, tax, accounting, financial, investment, immigration, or other professional advice through the Website or the Services. Buykii does not review your matter as a lawyer, select legal strategies for you, or make substantive legal judgments on your behalf. If Buykii ever introduces you to a licensed professional under a separate written engagement, that separate engagement will govern that relationship.
No attorney-client relationship; no privilege. Your use of the Website or Services does not create an attorney-client, fiduciary, or professional-adviser relationship between you and Buykii. Communications with Buykii are not protected by attorney-client privilege unless you separately engage a licensed attorney under a separate written engagement letter.
Buykii acts at your direction. You are responsible for deciding whether to form, amend, maintain, reinstate, dissolve, or otherwise act for your entity. Buykii performs administrative tasks based on the information and instructions you provide. Buykii does not independently verify all facts you submit and is entitled to rely on your instructions.
Eligibility and authority. You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services. If you use the Services for an entity, you represent that you are authorized to act for that entity.
Your information and your responsibility. You are solely responsible for the accuracy, completeness, legality, and timeliness of all information, names, addresses, ownership details, tax information, identification information, payment details, and instructions you provide. Buykii is not responsible for delays, rejections, penalties, additional fees, or losses caused by inaccurate, misleading, incomplete, or untimely information supplied by you or by third parties acting for you.
Limited authorization to file and sign. By placing an order, you authorize Buykii and its personnel, contractors, and service providers to prepare, submit, transmit, and, where needed to complete the specific Service you ordered, electronically sign ministerial or administrative documents, cover letters, filing transmittals, and administrative authorizations in your name and on your behalf, using information you provided. This authorization is limited to carrying out the ordered Service and does not authorize Buykii to make legal decisions for you.
No guarantee of results, approvals, timing, or business success. Buykii does not guarantee that any filing will be accepted, that any name will be available, that any government agency will approve your request, that any EIN or tax registration will be issued on a particular timeline, that any bank or financial institution will open an account for you, that any reinstatement request will be granted, or that your use of the Services will produce any legal, tax, financial, operational, or business result. Processing times are estimates only and depend on government agencies, third-party providers, your responsiveness, and other factors outside Buykii’s control.
Fees and charges. Buykii service fees are separate from government filing fees, courier charges, translation charges, mail-handling charges, payment-processing fees, taxes, and charges imposed by third-party vendors, registered-agent partners, software providers, or government bodies, unless expressly stated otherwise. You agree to pay all charges applicable to your order.
One-time fees versus recurring services. Unless expressly disclosed at checkout, in your order summary, in your customer dashboard, or in a service-specific disclosure, Buykii’s package fee for a formation or filing service is a one-time fee. Separate services such as registered-agent service, virtual address service, mail forwarding, compliance monitoring, annual filing services, document subscriptions, or other recurring services may renew automatically only if those recurring terms are clearly disclosed before you submit your order or activate the Service.
Recurring-service disclosures and consent. For any recurring Service, Buykii will disclose the nature of the recurring Service, the billing frequency, the amount to be charged or the method by which the amount is determined, the renewal term, and how to cancel. By activating or affirmatively opting into a recurring Service, you authorize Buykii to charge your designated payment method according to the disclosed recurring terms until you cancel in accordance with the applicable cancellation process. Where required by law, Buykii will send acknowledgment and renewal reminders.
Cancellation and refunds. Because Buykii may begin work promptly after purchase, orders may become non-cancellable and non-refundable once Buykii or a third party begins substantive work, performs a search, reserves a name, submits a filing, forwards payment to a government office, incurs a third-party expense, or otherwise starts execution of the ordered Service. If no substantive work has begun and no third-party or government cost has been incurred, Buykii may, in its discretion or as required by law, allow cancellation or issue a refund less any non-recoverable costs already incurred.
Transactional and service communications. By providing your email address, phone number, or other contact details, you consent to receive transactional and service-related communications from Buykii and its service providers about your orders, account activity, filings, reminders, deadlines, service updates, security alerts, support matters, and other communications reasonably related to the Services you requested.
One-time fees versus recurring services. Unless expressly disclosed at checkout, in your order summary, in your customer dashboard, or in a service-specific disclosure, Buykii’s package fee for a formation or filing service is a one-time fee. Separate services such as registered-agent service, virtual address service, mail forwarding, compliance monitoring, annual filing services, document subscriptions, or other recurring services may renew automatically only if those recurring terms are clearly disclosed before you submit your order or activate the Service.
Text messages and calls. Buykii may send service-related text messages or place service-related calls where permitted by law and where you have provided the contact information for that purpose. Message frequency may vary. Message and data rates may apply.
Marketing communications. If Buykii sends marketing or promotional emails, texts, robocalls, or prerecorded telemarketing messages, Buykii will obtain any consent required by applicable law separately from your acceptance of these Terms. Consent to marketing communications is not required as a condition of purchase. You may opt out of marketing emails using the unsubscribe mechanism provided. For recurring marketing texts, you may opt out as instructed in the message, including by replying “STOP” where applicable. Transactional messages related to an active order or account may still be sent as permitted by law.
Customer content and limited license. You retain ownership of the information, documents, data, images, and other content you submit to Buykii (“Customer Content”). You grant Buykii a nonexclusive, worldwide, royalty-free license to host, copy, use, reproduce, transmit, store, format, and process Customer Content only to the extent reasonably necessary to provide the Services, maintain and improve the Services, comply with law, prevent fraud, enforce rights, resolve disputes, create backups, and fulfill legitimate internal business operations consistent with the Privacy Policy. Buykii does not acquire ownership of your Customer Content through this license.
Feedback. If you voluntarily submit suggestions, ideas, or feedback about the Services, Buykii may use that feedback without restriction or compensation, but this does not convert your nonpublic order information or personal data into non-confidential public content.
Privacy and data handling. Buykii’s collection, use, storage, sharing, and processing of personal data and other nonpublic information are governed by the Privacy Policy and applicable law. Third-party providers, payment processors, government agencies, registered-agent partners, mail-handling providers, and linked services may apply their own privacy practices to information they receive directly or indirectly in connection with the Services.
Third-party services and links. Buykii may rely on third-party providers and may link to third-party websites, dashboards, forms, or systems. Buykii does not own or control those third parties and is not responsible for the content, privacy practices, acts, omissions, availability, or performance of third-party services, except to the extent required by applicable law. Any third-party charge properly incurred on your behalf may be non-refundable once incurred.
Registered-agent, virtual-address, and mail-related services. If you purchase a registered-agent, virtual-address, mail-forwarding, or related service, that service is limited to the scope described in the applicable order summary or service page. Buykii is not your legal representative, law office, or physical office landlord by virtue of those services. You may not use any address or mail-related service for unlawful, fraudulent, misleading, or prohibited purposes.
Intellectual property. The Website and all Buykii content, including text, graphics, branding, layouts, software, and compilations, are owned by Buykii or its licensors and are protected by intellectual-property and other applicable laws. Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works from, republish, scrape, sell, resell, or exploit any portion of the Website or Services.
Limited permitted use. Subject to these Terms, Buykii grants you a limited, revocable, non-transferable, non-sublicensable right to access and use the Website and Services solely for your own internal business or personal lawful use.
No resale or redistribution. You may not resell, white-label, sublicense, redistribute, or commercially exploit Buykii’s Services, forms, content, or deliverables except with Buykii’s prior written consent.
Post-formation and ongoing compliance responsibility. Unless Buykii expressly accepts a separate order for a particular ongoing task, you remain solely responsible for your entity’s annual reports, taxes, license renewals, beneficial ownership or similar filings, registered-agent changes, address updates, corporate formalities, compliance deadlines, government notices, and all other ongoing obligations after formation or filing. Any notice, reminder, dashboard alert, blog content, or courtesy communication from Buykii is provided as a convenience only and does not transfer legal responsibility from you to Buykii.
Prohibited conduct. You may not use the Website or Services to commit fraud, impersonate another person, submit false or misleading information, violate law, infringe another party’s rights, interfere with the Services, bypass security, scrape data, send spam, distribute malware, or otherwise misuse the Website or Services.
Disclaimer of warranties. TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BUYKII DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND AVAILABILITY. BUYKII DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR FREE OF HARMFUL COMPONENTS.
Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, BUYKII AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, BUYKII’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BUYKII FOR THE SPECIFIC DISPUTED SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Buykii and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your Customer Content, your misuse of the Website or Services, your violation of these Terms, your violation of law, or your infringement of any third-party right.
Suspension and termination. Buykii may refuse service, place orders on hold, suspend access, cancel services, or terminate these Terms if Buykii reasonably suspects fraud, unlawful conduct, misuse of promotions, abusive behavior, violation of these Terms, nonpayment, security risk, or misuse of the Website or Services. Buykii may also suspend or terminate Services if required by law or by a third-party provider that is essential to service delivery.
Abandoned orders. If you fail to provide required information, documents, approvals, or responses needed to complete an order within one hundred twenty (120) days after purchase, Buykii may classify the order as abandoned, close the file, and retain any non-refundable amounts already earned or incurred, subject to applicable law.
Chargebacks and payment disputes. You agree not to initiate or support unjustified chargebacks or payment reversals after Buykii or a third party has begun work or incurred costs on your behalf. Buykii reserves all rights to dispute improper chargebacks and to recover unpaid fees, costs, and losses resulting from improper reversals, to the extent permitted by law.
Dispute resolution and informal process. Before either party begins arbitration or files a lawsuit other than in eligible small-claims court, that party must first send the other party written notice of the dispute describing the nature of the dispute and the relief sought. The parties will use good-faith efforts to resolve the dispute informally within thirty (30) days after the notice is received.
Binding arbitration. Except for disputes that may be brought in small-claims court, disputes seeking injunctive relief for misuse of intellectual property or unauthorized access, and claims that applicable law requires to be heard in court, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”). Consumer disputes will be administered under the AAA Consumer Arbitration Rules as applicable; non-consumer business disputes will be administered under the applicable AAA commercial rules, unless applicable law requires otherwise.
Individual proceedings only. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BUYKII AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, MASS, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY’S INDIVIDUAL CLAIM.
Arbitration administration details. The arbitration will be conducted in English unless the parties agree otherwise or applicable rules require otherwise. The hearing location, remote format, and procedures will be determined under the applicable AAA rules unless the parties agree otherwise. If AAA declines to administer the dispute, the parties will confer in good faith on a substitute neutral administrator, and if they cannot agree, a court of competent jurisdiction may appoint one solely for that purpose.
Governing law. These Terms are governed by the laws of US, without regard to conflict-of-laws principles, except to the extent superseded by applicable federal law or mandatory consumer-protection law. If you are a consumer residing in a jurisdiction whose mandatory laws give you non-waivable rights, those rights are preserved.
Electronic records and signatures. You consent to receiving agreements, notices, disclosures, invoices, records, and other communications electronically, and you agree that electronic signatures, clicks, and other electronic confirmations are legally binding to the fullest extent permitted by law. You are responsible for maintaining a current email address and other contact details and for retaining copies of electronic records made available to you.
Changes to these Terms. Buykii may update these Terms from time to time. The updated version will be posted on the Website with a revised effective date. For material changes, Buykii may also provide additional notice by email, dashboard notice, or other reasonable means. Your continued use of the Website or Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
Force majeure. Buykii is not liable for delay, interruption, or failure to perform caused by events outside its reasonable control, including government actions, system failures, cyber incidents, internet outages, labor disputes, natural disasters, war, terrorism, epidemics, or third-party service failures.
Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
Assignment. You may not assign or transfer these Terms without Buykii’s prior written consent. Buykii may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Acknowledgment.
BY ACCESSING THE WEBSITE OR USING ANY BUYKII SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS.
