Buykii Partner Terms and Conditions

These Partner Terms and Conditions (“Agreement”) govern participation in the Buykii Partner program (“Program”) and are entered into between Buykii LLC, (“Buykii,” “we,” “our,” or “us”), and the applicant or approved affiliate identified in the Program application or Parter dashboard (“Partner,” “you,” or “your”).

By applying to the Program, clicking acceptance, using any affiliate link, coupon code, or tracking asset, or accepting any commission payment, you agree to be bound by this Agreement.

Program purpose. The Program is intended solely to permit approved Partner to promote Buykii’s approved services and refer prospective customers to Buykii through authorized marketing channels in exchange for commission on Qualified Referrals, as defined below. Nothing in this Agreement authorizes you to act as Buykii’s agent, employee, representative, franchisee, reseller, broker, or legal advisor.

Eligibility and approval. You must be at least 18 years old and legally capable of entering into binding contracts. You must provide complete and accurate information in your application and keep that information current at all times. Buykii may approve, reject, suspend, or revoke any application or participation in its sole discretion, with or without cause. Participation in the Program is a privilege, not a right.

Independent contractor relationship. You are an independent contractor. Nothing in this Agreement creates any employment, agency, partnership, joint venture, fiduciary, or franchise relationship between you and Buykii. You have no authority to make representations, warranties, commitments, or promises on Buykii’s behalf and may not bind Buykii in any way.

Definitions
A “Qualified Referral” means a new customer who:
(a) accesses Buykii through your unique tracking link, coupon code, or other tracking method expressly authorized by Buykii;
(b) completes an Eligible Purchase within the applicable Cookie Window;
(c) has not previously purchased the same Eligible Service from Buykii, been referred by another approved source as determined by Buykii’s attribution rules, or been created through self-referral, fraud, or abuse; and
(d) makes a payment that is successfully processed, not refunded, not charged back, not disputed, not unlawful, and not otherwise disqualified under this Agreement. “Eligible Purchase” means only those Buykii service purchases that Buykii designates as commissionable in the Program dashboard, written commission schedule, or other written notice.
“Net Service Revenue” means the amount actually received by Buykii for an Eligible Purchase after excluding all non-commissionable amounts, including without limitation: government fees, state fees, registry fees, filing fees, taxes, VAT, GST, sales tax, customs or postal charges, mail forwarding or shipping charges, payment-processing fees, discounts, store credits, promotional offsets, refunds, reversals, chargebacks, fraudulent amounts, and amounts paid to or retained by third-party service providers.

“Cookie Window” is 30 days from the customer’s qualifying click, unless a different attribution rule is expressly stated by Buykii in writing.

Enrollment and program access. After approval, Buykii may provide you with tracking links, coupon codes, creatives, brand assets, and access to a dashboard or third-party affiliate platform. You may use only the materials, links, and codes expressly authorized by Buykii. If Buykii uses a third-party platform for tracking, attribution, or payouts, your use of that platform is also subject to its terms and policies.

Attribution and tracking. Buykii will determine, in its sole and reasonable discretion, whether a sale qualifies for commission and which affiliate, if any, is entitled to credit. Unless Buykii states otherwise in writing, Buykii may use a last-click attribution model or another model disclosed in the Program dashboard. Buykii’s tracking, analytics, and payment records will govern in the event of any discrepancy, provided that Buykii acts in good faith. Buykii is not responsible for inability to track referrals caused by ad blockers, browser settings, cookie deletion, technical outages, link misuse, tagging errors, or your failure to use the correct tracking assets.

Commission schedule and payout timing. Commission rates, payout thresholds, lock periods, and payment methods will be listed in Schedule A, the Program dashboard, or another written notice from Buykii. Unless Buykii agrees otherwise in writing, commissions are calculated only on Net Service Revenue from Qualified Referrals. Commissions are typically reviewed and paid monthly, but Buykii may delay approval or payment to investigate suspected fraud, check refund or chargeback activity, verify compliance, or confirm tax and payment information. Buykii may withhold final payouts for up to 60 days after termination or suspected violation to account for disputes, reversals, chargebacks, or other adjustments.

Recurring services and renewals. Unless Buykii expressly states otherwise in a written commission schedule, commissions are payable only on the initial Eligible Purchase and not on renewals, recurring subscriptions, annual compliance renewals, registered-agent renewals, virtual address renewals, add-on services purchased later, or other subsequent purchases.

Payment conditions. Buykii will not pay commission until:
(a) the applicable lock or validation period has expired;
(b) you have provided any requested payout and tax information;
(c) the payout threshold has been met; and
(d) you are in full compliance with this Agreement.
Buykii may offset future commissions against prior overpayments, refunds, reversals, chargebacks, or compliance-related losses.

Non-commissionable transactions. You will not earn commission on:
(a) self-referrals or purchases made by you, your employees, your household members, your controlled entities, or accounts managed by you;
(b) transactions generated through fraud, deception, abuse, or violation of this Agreement;
(c) refunded, canceled, reversed, disputed, or unpaid transactions;
(d) government fees, state fees, taxes, third-party pass-through fees, shipping, postage, mail handling, and similar excluded amounts;
(e) existing customers, duplicate accounts, or referrals Buykii reasonably determines were already in process;
(f) orders placed through unauthorized coupon, incentive, toolbar, adware, or direct-link paid-search methods;
(g) any transaction Buykii rejects, cancels, or cannot fulfill; or
(h) any order submitted on behalf of a customer unless Buykii has separately approved that workflow in writing.

Buykii control over services and customer terms. Buykii controls its prices, service descriptions, offerings, promotions, approval criteria, refund rules, customer policies, eligibility requirements, and operational decisions at all times. Referred customers are Buykii customers, not your customers, and all customer-facing terms, policies, and final decisions regarding fulfillment, cancellation, refunds, compliance, or support are determined by Buykii. Buykii may reject any order, customer, jurisdiction, or transaction in its sole discretion.

Truthful marketing and required disclosures. You must market Buykii honestly, lawfully, and in good faith. You must clearly and conspicuously disclose your affiliate relationship wherever you endorse, recommend, compare, review, or promote Buykii. You may not make false, misleading, deceptive, unsubstantiated, or incomplete statements about Buykii, its services, pricing, timelines, legal effects, tax effects, bank-account availability, government processes, approval odds, or customer results.

Without limiting the foregoing, you may not:
(a) describe Buykii as a law firm unless Buykii has expressly authorized that statement in writing;
(b) claim or imply that communications with Buykii are protected by attorney-client privilege unless expressly authorized in writing;
(c) claim or imply that Buykii is a government office, government portal, regulator, or official filing authority;
(d) advertise company formation as “free” or “$0” without a clear nearby disclosure that government or state fees and optional services may apply;
(e) promise guaranteed approvals, guaranteed filing times, guaranteed tax treatment, guaranteed compliance, guaranteed bank account opening, guaranteed refunds, or any specific business outcome; or
(f) give legal, tax, accounting, immigration, or investment advice on Buykii’s behalf.

Permitted channels. Unless Buykii states otherwise in writing, you may promote Buykii only through your own approved websites, blogs, social channels, podcasts, communities, or opt-in email newsletters that you own or control and that comply with applicable law and platform rules.

Prohibited promotional methods. The following are prohibited unless Buykii gives prior written permission:
(a) bidding on Buykii brand terms, domain names, slogans, or misspellings in search advertising or shopping ads;
(b) using Buykii trademarks in domain names, subdomains, social handles, app names, or misleading display URLs;
(c) direct-linking paid ads to Buykii landing pages;
(d) coupon, cashback, rebate, loyalty, points, deal, or “discount code” promotions unless Buykii has issued and approved the specific offer in writing;
(e) toolbars, browser extensions, adware, spyware, plugins, or applications that insert affiliate tracking, alter the user journey, or intercept traffic;
(f) cookie stuffing, forced clicks, invisible iframes, pop-ups, pop-unders, or any method that sets affiliate cookies without a clear affirmative action by the user;
(g) cloaked redirects, masked URLs, misleading landing pages, or impersonation of Buykii;
(h) unsolicited email, spam, mass messaging, purchased lists, robocalls, robotexts, or unapproved telemarketing;
(i) any site or content involving unlawful activity, hate speech, malware, deceptive claims, or material that Buykii determines may damage its brand;
(j) unauthorized sub-affiliate networks or opaque traffic sources that do not clearly disclose the originating publisher; and
(k) any promotion that violates advertising, privacy, communications, intellectual-property, consumer-protection, or competition laws.

Compliance with law and platform policies. You are solely responsible for complying with all applicable laws, regulations, self-regulatory codes, and platform policies, including rules governing advertising, disclosures, endorsements, email marketing, telemarketing, privacy, data security, text messaging, intellectual property, unfair competition, sanctions, anti-bribery, export controls, and consumer protection. You must maintain any notices, consents, unsubscribe mechanisms, and records required by law for your marketing activities.

Brand assets and limited license. Subject to this Agreement, Buykii grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Term to use Buykii’s approved trademarks, logos, word marks, and creatives solely to promote Buykii under this Program. You may not alter, distort, translate, animate, edit, combine, or otherwise modify any Buykii brand asset without prior written approval. All goodwill arising from your use of Buykii marks inures solely to Buykii. Buykii may revoke this license at any time.

Approval rights and takedown rights. Buykii may require prior approval for custom creatives, translated materials, comparative pages, review pages, paid campaigns, webinars, lead magnets, or any content referencing pricing, legal effects, timelines, approvals, or savings. Buykii may require removal, correction, or suspension of any content or campaign at any time. You must comply promptly with any takedown or correction request.

Orders on behalf of customers. Unless Buykii expressly authorizes you in a separate written partner, reseller, or referral agreement, you may not collect order instructions, receive customer funds for Buykii services, place orders for customers, submit customer information to Buykii, or represent that you are operating a Buykii white-label workflow. Any such activity without written authorization is a material breach of this Agreement.

Customer data, privacy, and security. You may not collect, store, transmit, or process payment-card information, passport data, tax IDs, identity records, proof-of-address documents, or other sensitive personal data for Buykii unless Buykii has expressly authorized such handling in writing and you comply with all applicable privacy and security obligations. You will direct customers to Buykii’s official checkout and secure intake processes unless Buykii instructs otherwise in writing.

Confidentiality Any non-public information disclosed by Buykii to you in connection with the Program, including commission rates, payout reports, custom offers, conversion data, unpublished landing pages, sales materials, campaign strategies, and product roadmaps, is confidential information. You will protect that information using reasonable care, use it only for Program purposes, and not disclose it to any third party except as required by law. This obligation survives termination.

Affiliate representations and warranties. You represent and warrant that:
(a) you have the full right and authority to enter this Agreement;
(b) your content, ads, pages, and communications do not infringe any third-party rights;
(c) all claims you make are truthful, lawful, substantiated, and not misleading;
(d) you will maintain all necessary rights, licenses, and permissions for your marketing activities; and
(e) you will comply with this Agreement at all times.

Monitoring, audits, and investigations. Buykii may monitor your marketing, traffic sources, placements, disclosures, keyword usage, and compliance. Upon request, you will promptly provide reasonable access to relevant campaign information, screenshots, publisher lists, traffic-source details, ad copies, and other evidence reasonably necessary to investigate compliance. Buykii may suspend your account during any investigation.

Term and termination. This Agreement begins when Buykii accepts your application or otherwise permits your participation and continues until terminated. Either party may terminate this Agreement at any time for any reason upon notice. Buykii may suspend or terminate you immediately, with or without notice, if Buykii suspects fraud, abuse, deceptive marketing, unauthorized brand use, unlawful conduct, non-compliance, or any act that may harm Buykii, its customers, or its reputation.

Disclaimers The Program, tracking tools, dashboard, links, creatives, and all related materials are provided “as is” and “as available.” Buykii makes no representation or warranty, express or implied, regarding the Program, including any warranty of merchantability, fitness for a particular purpose, non-infringement, availability, uninterrupted operation, error-free tracking, or any guaranteed level of traffic, conversion, or earnings.

Limitation of liability. To the maximum extent permitted by law, Buykii will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, lost opportunities, goodwill loss, or business interruption arising out of or relating to this Agreement or the Program, even if advised of the possibility of such damages. To the extent permitted by law, Buykii’s aggregate liability arising from the Program will not exceed the total approved commissions paid or payable to you under this Agreement during the six-month period preceding the event giving rise to the claim.

Taxes and withholding. You are solely responsible for all taxes, levies, duties, reporting, and similar obligations arising from your commissions. Buykii may require a valid Form W-9, W-8BEN, W-8BEN-E, or other documentation before making payment and may withhold amounts where required by law.

Modifications to the Program or Agreement. Buykii may modify this Agreement, the commission schedule, the list of eligible services, the Cookie Window, the payout timing, brand guidelines, or any Program rule at any time by posting an updated version, updating the dashboard, or otherwise notifying you. Unless Buykii states otherwise, changes apply prospectively. Your continued participation after the effective date of any change constitutes acceptance.

Governing law and dispute resolution. This Agreement is governed by the laws of US, UK and Canada, without regard to conflict-of-law rules. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in [insert either exclusive courts or binding arbitration forum]. Notwithstanding the foregoing, Buykii may seek temporary, preliminary, or permanent injunctive relief in any court of competent jurisdiction to protect its trademarks, confidential information, intellectual property, data, or customer relationships.

General provisions. You may not assign or transfer this Agreement without Buykii’s prior written consent. Buykii may assign this Agreement in connection with a merger, acquisition, sale of assets, corporate restructuring, or internal reorganization. If any provision is held unenforceable, the remaining provisions will remain in effect. No waiver is effective unless in writing. This Agreement, together with any incorporated Program policies, brand guidelines, commission schedule, and platform terms, constitutes the entire agreement regarding the Program and supersedes all prior discussions on that subject. Electronic acceptance and electronic records are binding and enforceable.

Optional co-marketing clause if Buykii wants broader rights. During the Term, you grant Buykii a limited, non-exclusive, royalty-free license to use your name, logo, and approved marks solely to identify you as a Program participant and to create co-branded promotional materials relating to the partnership, subject to any written brand guidelines you provide in advance. Buykii will cease new use of such marks within a commercially reasonable period after termination, except as necessary to wind down existing campaigns.
